Draft — not legal advice, not reviewed by counsel
This page is a placeholder drafted for engineering purposes. It must be reviewed and approved by qualified legal counsel — including the securities-intermediary review already flagged as a launch prerequisite — before publishing or relying on it. Highlighted terms below mark decisions that still need to be made.
By registering for a Sprezox account, you agree to these Terms & Conditions. If you do not agree, do not use the platform.
Sprezox is a discovery and introduction platform. We do not provide investment advice, execute transactions, collect money, allocate shares, generate legal documents, or guarantee any funding outcome. Sprezox's role ends once an introduction between a founder and an investor is made — everything after that, including due diligence, negotiation, legal documentation, and any investment, happens independently between the parties, outside the platform.
[Legal review of this business model against applicable securities intermediary regulations is required before this platform is publicly launched.]
Each account is registered as either a Founder or an Investor account, tied to one email address. You must provide accurate information during registration and verification, and keep your account credentials confidential. You are responsible for activity that occurs under your account.
Minimum age to register: [confirm minimum age requirement].
Access to discovery-side features (browsing pitch decks, requesting meetings for investors; publishing listings for founders) requires manual verification review, including submission of supporting documents. Sprezox may approve or reject a verification submission at its discretion, and may request additional information.
Founders are solely responsible for the accuracy of their company and listing information. Listings are reviewed and must be independently approved at each stage before publishing, and Sprezox may reject or remove a listing at its discretion, including after publication.
Pitch decks are only made available to an investor after the founder explicitly approves that investor's request. By requesting and receiving access to a pitch deck, an investor agrees not to redistribute, publish, or share it with any third party without the founder's separate written consent.
Once a founder accepts a meeting request, contact details are exchanged between the founder and the investor. Sprezox's involvement ends at that point. Sprezox is not responsible for, and does not mediate, any communication, negotiation, or agreement that follows.
Sprezox does not guarantee that any founder will secure funding, that any investor will find a suitable investment, or that any introduction will result in further engagement. Use of the platform is at your own risk and discretion.
You may not: provide false or misleading information during registration, verification, or listing creation; attempt to circumvent the verification or approval process; scrape, harvest, or misuse data from the platform, including contact details obtained through the platform; use the platform for any unlawful purpose.
There is currently no fee to register, get verified, publish a listing, or request an introduction. Any future pricing will be communicated in advance and will not apply retroactively without notice. [finalize monetization model and corresponding terms before billing is introduced].
Sprezox may suspend or terminate an account, with reason, for violation of these terms or at its discretion where necessary to protect the integrity of the platform. Suspended accounts lose access to platform features; suspension does not retroactively affect introductions already made.
Founders retain ownership of their listing content and pitch decks. By publishing a listing, you grant Sprezox a limited license to display that content on the platform for the purpose of operating the marketplace. Sprezox retains ownership of the platform itself, including its design, code, and branding.
[Standard disclaimer of warranties and limitation-of-liability language, drafted and reviewed by counsel — not something to improvise generically for a platform in this regulatory position.]
Governing law: [jurisdiction]. Dispute resolution process: [arbitration/court venue].
We may update these terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
